Annual General Meeting 2010

The Annual General Meeting of Fouriertransform was held today on April 20, 2010 in Stockholm.

The following resolutions were passed at the meeting:

Dividend

The Annual General Meeting confirmed that no dividend would be paid but that the profit (SEK 8,256,088) would be carried forward.

Discharge from liability

The meeting discharged the board members and CEO from liability for the financial year 2009.

Guidelines for remuneration and other conditions of employment for senior management

Resolutions were passed on principles for conditions of employment and remuneration for the CEO and senior management in accordance with the proposals of the board, which means that Fouriertransform shall apply the guidelines passed by the Swedish Government on April 20, 2009 concerning conditions of employment for persons in senior management positions in state-owned companies, with the following clarification. Remuneration to senior management shall be competitive, although without being wage-leading. This is ensured by Fouriertransform obtaining market salary information on a continuous basis. Prior to decisions being made on appointments, documents shall be drawn up concerning the company’s future costs for the appointment. Senior management shall not be offered incentive programmes.

Board Members

A resolution was passed that the Board shall comprise seven members without deputies. Re-election of all board members: Lars-Olof Gustavsson (also re-elected as chairman), Cecilia Schelin Seidegård, Hasse Johansson, Karin Kronstam, Lars-Göran Moberg, Ulla-Britt Fräjdin-Hellqvist and Lars Erik Frediksson.

Fees

The Annual General Meeting passed a resolution to pay the following directors’ fees: SEK 300,000 for the chairman and SEK 150,000 for each member of the Board who is not employed by the Government Offices.

It was decided that the auditor’s fee would be based on an approved invoice.
